PRIME FIRE SUPPLIES PTY LTD - TERMS & CONDITIONS

1. GST Charges
All customers will be charged GST in accordance with the Australian GST Acts as required by law.

2. Payment Terms
Payment is due no later than 30 days from the last day of the month in which the invoice is issued. Any outstanding balances that remain unpaid beyond 60 days from the payment due date may incur finance charges. For cheque payments, the payment will not be considered complete by Prime Fire Supplies Pty Ltd until the cheque has been honoured.

3. Retention of Title
Until Prime Fire Supplies Pty Ltd receives full payment in cleared funds for all goods supplied—as well as for any outstanding amounts on any account—the legal title and ownership of the goods remain with Prime Fire. The customer holds these goods as a fiduciary agent and bailee for Prime Fire Supplies Pty Ltd and must keep them separate from other items, maintaining the original labeling and packaging so that the goods remain clearly identifiable as Prime Fire property. Failure to adhere to these requirements does not affect Prime Fire’s title to the goods. The customer is also prohibited from selling these goods except in the ordinary course of business.

Any proceeds from the sale of the goods must be held in trust for Prime Fire Supplies Pty Ltd in a separate account into which no other funds are deposited. Even if the proceeds are not deposited in a separate account, the customer’s obligation to treat them as trust funds for Prime Fire remains unchanged until such proceeds are actually paid to Prime Fire Supplies Pty Ltd.

If the customer fails to make any payment when due, or if Prime Fire Supplies Pty Ltd has reason to believe that the customer is insolvent or is likely to appoint a receiver, liquidator, administrator, or similar officer over its property, Prime Fire Supplies Pty Ltd may, without notice, enter any premises where it suspects the goods are located and remove them without committing trespass—even if they are attached to other goods or property. By purchasing from Prime Fire, the customer irrevocably authorizes Prime Fire to enter such premises and indemnifies Prime Fire Supplies Pty Ltd from any costs, claims, demands, or actions arising from such actions.

4. Credit and Privacy
By purchasing goods or applying for credit, customers and potential customers acknowledge and agree to the terms of the Privacy Act 1988 and its current amendments, thereby authorizing Prime Fire Supplies Pty Ltd to access their commercial and consumer credit reports for credit assessment. Credit is granted at the discretion of Prime Fire and may be revoked at any time without notice.

5. Returns and Faulty Goods
Goods determined to be faulty due to defective material or workmanship will be replaced free of charge following an inspection by Prime Fire Supplies Pty Ltd. All other returns will be eligible for credit only, provided that:

  • The product is in excellent condition; and
  • Prime Fire is notified (via email or fax) within 21 days of the invoice date, including the invoice or delivery docket number and the date on the return request.

6. Governing Law and Legal Proceedings
These terms are governed by and construed in accordance with the laws of New South Wales. Any legal proceedings against Prime Fire Supplies Pty Ltd must be initiated in the State of New South Wales within six (6) months from the date of the invoice.

7. Guarantee and Indemnity
a. The Guarantor guarantees the full and timely performance of all the customer's obligations to Prime Fire Supplies Pty Ltd, including the payment of all amounts owed, and indemnifies Prime Fire against any damages incurred as a result of the customer’s failure to meet these obligations.
b. This guarantee remains in full force and effect for as long as any obligation of the customer remains outstanding, regardless of any extensions or allowances granted.
